1. Agreement to terms
These Terms of Service ("Terms") govern your use of idea-one-ecru.vercel.app (the "Site") and any engagement of services from IdeaOne ("IdeaOne", "we", "us"). By accessing the Site or engaging our services, you agree to be bound by these Terms.
2. Services described
IDEAONE provides digital growth services across three pillars — Media, Tech, and Finance — as described on our Services page. The specific scope, deliverables, timelines, and fees for any engagement are set out in a separate proposal or statement of work ("SOW") agreed with the client in writing. In the event of any conflict between these Terms and an SOW, the SOW governs for that engagement.
3. Engagement & payment terms
- Ongoing engagements are billed monthly in advance, with a minimum initial term (typically three months) as set out in the SOW.
- Invoices are due within 14 days of the invoice date unless otherwise agreed.
- Late payment may result in a pause of services until the account is brought current.
- One-time project fees (such as a website build) are billed against milestones defined in the SOW.
4. Client responsibilities
To deliver services on schedule, we rely on the client to provide timely feedback and approvals, grant access to necessary accounts and platforms (such as social media, website hosting, or analytics tools), and ensure that information provided to us is accurate and up to date.
5. Intellectual property
Upon full payment, final deliverables created specifically for the client under an SOW — such as website code, content assets, and dashboards — become the property of the client. IDEAONE retains the right to display completed work in our portfolio and marketing materials, including on our Work page, unless otherwise agreed in writing. Pre-existing tools, frameworks, templates, and internal processes used to deliver the work remain the property of IDEAONE.
6. Confidentiality
Both parties agree to keep confidential any non-public business, financial, or technical information shared during the course of an engagement, and not to disclose it to third parties except as required by law or with the other party's written consent.
7. Results & no guarantee
We use good-faith, industry-informed strategies and report transparently on performance. However, we cannot guarantee specific results — such as revenue figures, follower counts, search rankings, or booking volumes — as these depend on factors outside our control, including platform algorithm changes, market conditions, and the client's own operations.
8. Limitation of liability
To the extent permitted by law, IDEAONE's total liability for any claim arising from an engagement is limited to the fees paid for the services giving rise to that claim during the three months preceding the claim. IDEAONE is not liable for indirect, incidental, or consequential damages.
9. Termination
After the minimum term set out in the SOW, either party may terminate an ongoing engagement with 30 days' written notice. The client remains responsible for fees incurred for work performed up to the termination date.
10. Governing law
These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from these Terms or an engagement will be subject to the exclusive jurisdiction of the courts of Sharjah, UAE.
11. Changes to these terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site or an ongoing engagement after changes are posted constitutes acceptance of the updated Terms.
